These terms govern your use of the Relistly website, web app and browser extension. Please read them carefully — by using Relistly you agree to them.

1. The agreement & who we are
Relistly is Europe-first crosslisting and inventory-management software for resellers, provided by [legal entity name], [KvK number · VAT (btw-id)], registered at [registered address] (“Relistly”, “we”, “us”). These Terms of Service (the “Terms”) form a binding agreement between you and Relistly. Our Privacy Policy and any plan-specific terms are incorporated by reference.
If you do not agree to these Terms, do not use Relistly.
2. Eligibility
You must be at least 16 years old and able to form a binding contract. Relistly is intended for business and reselling use. If you use Relistly on behalf of a company, you confirm you are authorised to bind that company to these Terms.
3. The service
Relistly lets you create, import, adapt, publish, sync and delist product listings across multiple online marketplaces from one place, and provides related inventory and analytics tools. Some marketplaces are reached through public APIs; others are reached through the Relistly browser extension, which acts within your own signed-in browser session on those marketplaces and only when you initiate an action.
The set of supported marketplaces, features and limits may change over time, and availability can differ by country and by your account type on each marketplace.
4. Your account
You are responsible for the accuracy of your account details, for keeping your login credentials/keys secure, and for all activity under your account. Tell us promptly of any unauthorised use. You are responsible for maintaining your own logged-in sessions with the marketplaces you connect.
5. Acceptable use
You agree not to:
- use Relistly to post unlawful, infringing, counterfeit, stolen or prohibited items, or content that is false or misleading;
- break the law or infringe anyone's rights (including intellectual-property, consumer and data-protection rights);
- violate the terms, policies or technical limits of any connected marketplace;
- misuse, disrupt, reverse-engineer, scrape or overload the service, or attempt to bypass its security or usage limits;
- resell, sublicense or provide the service to third parties except as expressly permitted by your plan; or
- use the service to send spam or to manipulate marketplace systems.
6. Third-party marketplaces & your responsibilities
Relistly is an independent tool and is not affiliated with, endorsed by, or sponsored by any marketplace (such as Vinted, Vestiaire, Depop, eBay, Etsy, StockX or others). Marketplace names and logos belong to their respective owners.
You are solely responsible for your listings and your conduct on each marketplace, and for complying with each marketplace's own terms, policies and fees. Because Relistly acts through your own account and session:
- you authorise Relistly to perform the actions you initiate (publish, import, update, delist, mark as sold, and related tasks) on your connected accounts;
- marketplaces may change, restrict or block automated or third-party access at any time, which can affect or interrupt features; and
- we do not guarantee that any listing will be accepted, remain live, or result in a sale.
7. Subscriptions, trials & billing
Paid plans are billed on a recurring subscription basis through our payment processor, Stripe. By subscribing you authorise us (via Stripe) to charge your payment method the applicable fees.
- Free trial. If your plan includes a free trial, it runs for the stated period; unless you cancel before it ends, your subscription begins and the payment method on file is charged.
- Renewals. Subscriptions renew automatically for successive periods (monthly or annual, as chosen) until cancelled.
- Taxes & VAT. Prices are stated exclusive or inclusive of VAT as indicated at checkout. Applicable VAT is added and charged at the rate for your country in accordance with EU rules.
- Invoices. An invoice/receipt for each charge is made available through Stripe. Provide a valid business VAT number where you need a VAT invoice.
- Price changes. We may change prices or plan features; we will give reasonable prior notice, and changes take effect at your next renewal.
- Non-payment. If a charge fails, we may retry, downgrade or suspend paid features until payment succeeds.
8. Cancellation & right of withdrawal
You can cancel your subscription at any time from your account; cancellation stops future renewals and takes effect at the end of the current paid period. Except where required by law, fees already paid are non-refundable and we do not provide partial-period refunds.
EU consumers. If you are a consumer in the EU, you have a statutory 14-day right of withdrawal for distance contracts. Because Relistly is digital content/services supplied immediately, by starting to use the paid service during the withdrawal period you request immediate performance and acknowledge that you lose the right of withdrawal once the service has been fully performed, to the extent permitted by law. 9. Your content
You keep all rights in the listings, images, text and other content you provide (“Your Content”). You grant Relistly a limited, worldwide, non-exclusive licence to host, process, adapt and transmit Your Content solely to operate the service for you — for example to reformat a listing for each marketplace and to publish it on your behalf. You are responsible for having the rights to Your Content and for ensuring it is lawful.
10. Intellectual property
Relistly, including the website, app, extension, software, and its look and feel, is owned by us and our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service in accordance with these Terms. You may not copy, modify, distribute, sell or reverse-engineer any part of the service except as permitted by law.
11. Beta & AI features
Some features may be labelled beta, early-access or experimental, or may use automated/AI assistance (for example listing-title suggestions or category detection). These are provided “as is”, may change or be withdrawn, and their output can be inaccurate — you are responsible for reviewing results before relying on them.
12. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, whether express or implied. We do not warrant that the service will be uninterrupted, error-free or secure, that it will always work with every marketplace, or that it will achieve any particular sales result. Nothing in these Terms excludes rights you have as a consumer that cannot be excluded by law.
13. Limitation of liability
To the maximum extent permitted by law, Relistly will not be liable for indirect, incidental, special or consequential damages, or for lost profits, lost sales, lost data, or losses arising from marketplace actions or third-party services. Our total aggregate liability arising out of or relating to the service is limited to the amounts you paid to us in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law (such as for intent or gross negligence, or mandatory consumer rights).
14. Indemnification
You will indemnify and hold Relistly harmless from claims, damages and costs (including reasonable legal fees) arising from Your Content, your use of the service, your listings and sales, or your breach of these Terms or of any marketplace's terms or applicable law, except to the extent caused by us.
15. Suspension & termination
You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these Terms, if required for security or legal reasons, or if providing the service to you becomes impractical. On termination, your right to use the service ends; provisions that by their nature should survive (e.g. IP, disclaimers, liability, indemnity) will survive. See our Privacy Policy for what happens to your data.
16. Changes
We may update these Terms from time to time. We will post the updated version here and update the “Last updated” date; for material changes we will give reasonable notice. Continuing to use the service after changes take effect means you accept the updated Terms.
17. Governing law & disputes
These Terms are governed by the laws of the Netherlands, and disputes will be subject to the competent courts of [your court district / registered seat], without prejudice to any mandatory rights or protections you have as a consumer in your country of residence.
